Exemplаr Develоpment Cоrpоrаtion entered into а contract with DasBrot Inc. for the stucco work of phase 1 of Exemplar's  Marina Development. Their contract contained an Owner's Termination for Convenience clause that required Exemplar to give DasBrot 10 days notice and required them to pay for all work finished, installed an in progress acceptable to Exemplar. To keep working together in subsequent phases of the development, Exemplar and DasBrot signed addendums to the main contract that stated that all clauses in main contract were part of the addendums. On addendum 4, it was added a clause stating all prices will be kept the same for a full year, that the contract will be automatically renewed yearly, and any changes in costs can be negotiated by the parties. Furthermore, it stated that if DasBrot would like to end the contract without cause (for their convenience), they could but have to give a 30 day notice to Exemplar.  Six months after signing the addendum 4, Exemplar gave DasBrot a 10 day notice of termination of contract without cause (for convenience). DasBrot sued Exemplar stating that the clause in Addendum 4 requiring them to give a 30 day notice also applied to Exemplar because it would not be fair dealings or good faith otherwise.
