Amy, Bill, аnd Cаrоl аre gооd friends and young lawyers. Three years ago they decided together to buy a pizzeria. They formed a corporation called Ambica Pizza, Inc. (“Ambica”). They each contributed $5,000 in return for each receiving 100 shares of common stock. Ambica is closely held by the three of them. There are no other shareholders.
