Henry Holder has committed the tort of patent infringement, along with, perhaps, other violations of the law. Explain (name and define) TWO specific duties of loyalty, that we discussed in class that Henry Holder has violated. Identify and define each duty violated and explain how that duty was violated? Wendy decides to sue Holder Incorporated for theft and patent infringement, and wins a $1.2 million judgment, then asks the court to hold Holder personally liable by piercing the corporate veil. During discovery, Wendy learns that Holder Incorporated maintains no assets, and seems to be used simply for Holder to collect profits from the sale of the towel, which he then transfers to his personal checking account.
