Cоntrаcts 2 Mаke up Exаm Harbоr Events, LLC ("Harbоr") wanted to host a large outdoor music festival to celebrate the opening of its newest entertainment venue. On May 10, Hannah, Harbor's managing member, called Sound Wave Supply Co., a company that rents professional concert equipment. During the call, Sound Wave agreed to provide Harbor with 100 high-end speakers, to be delivered within ten days, and Harbor agreed to "pay the market rate" for the speakers. Hannah stated that she would have Harbor's director send over a written contract memorializing the agreement. Hannah also told Sound Wave’s sales manager, Sam, "You can count on Harbor. Hannah responded, "Don't worry about those other customers. Harbor is committed to moving forward and we will pay for the transport cost." Relying on Hannah's assurances, Sound Wave declined two competing rental requests that would have generated approximately $55,000 in revenue. Sound Wave also incurred $6,000 in transportation and preparation costs to service and stage the speakers for Harbor's event. After the call, Hannah became occupied with preparations for the music festival and forgot to have the director send a written contract to Sound Wave. On May 16, Sound Wave delivered the 100 speakers to Harbor, along with an invoice for $62,000. Harbor accepted delivery of the speakers and used them throughout the festival. After the event, however, Harbor refused to pay the invoice. Harbor contends that it does not have to pay the $62,000 because: (1) Harbor never sent a written contract; (2) The parties never agreed to a specific price for the 100 speakers; and (3) There was insufficient consideration to form a contract because Harbor could have rented equivalent speakers from Audio Tech Rentals, a competing supplier, for $50,000.
