FACT PATTERN #1 (30 pоints tоtаl) Sаndy Olssоn comes to your office on December 10, 2023 for а prospective client meeting. When Sandy arrives, she has her mother and her sister with her for “emotional support.” Sandy requests that her mother and sister sit in the meeting to “assist” her in case she becomes overwhelmed—they did fly in all the way from Australia (Sandy’s native country) to be with her! Sandy explains the following to you: She and her husband, Danny Zuko, have been married for 23 years. They were married on a beautiful summer night, June 8, 1999. They have three children who are 23 (Betty Zuko), 15 (Ken Zuko) and 10 (Frenchy Zuko). Danny is the Chief Executive Officer of his family business, Zuko Manufacturing, Inc., where he has worked since he was in high school. The company primarily manufactures parts for high-end vehicles. Danny started by working in the warehouse and became the CEO in 2015. Danny owns 50% of Zuko Manufacturing, Inc., which he has owned since its’ inception in 1990. Danny has always fancied himself the “brains” of the company and is happy to brag to anyone who can stomach to listen. Danny’s mother and father are the Co-Chairs of the Board, which is made up of 7 individuals in total. The remaining 5 individuals are not family members. In order for a major decision to be made, the Board requires a majority vote. Danny may be the “brains,” but he cannot make decisions without the approval of the Board. In 2019, Danny personally negotiated a 10-year contract with Tesla, which is the largest contract ever obtained by Zuko Manufacturing, Inc. Danny has credibly told Sandy that the Tesla deal has made the value of the company increase by at least 10x. Danny’s base salary is $150,000. He receives significant additional compensation through his variable compensation package, which is based upon the performance of the company. He also receives an owners’ distribution each year, which is also based upon the company’s performance. In 2020, Danny’s total compensation, including distributions, was $800,000; in 2021 it was $960,000; and, in 2022 it was $900,000. Danny tells Sandy that his compensation for 2023 is hard to predict because it was an “off” year. Danny doesn’t know that Sandy is meeting with you. Sandy is extremely worried that the company will “suddenly have a down-turn” when Danny finds out about the divorce. She is worried because he and his family can control his income and the profitability of the company to make her get less money. Sandy graduated from Shaker Heights High School after moving to the United States from Australia. Sandy’s parents were divorced, and she lived with her father in the United States for the school year and her mother in Australia for the summer. Sandy and Danny met when they were in high school and immediately fell in love. Sandy got pregnant with Betty just before she and Danny got married. They do not have a prenuptial agreement. Sandy has never worked outside of the home. She has been the President of the school PTA since Betty was in kindergarten and has never missed a bake sale, school recital, or sporting event. Of course, Danny doesn’t appreciate all Sandy does for their children and keeping the house in order—she irons his white V-neck t-shirts every single morning before he goes to work! Lastly, Sandy shares that her in-laws gift Danny at least $100,000 each year. Even though the check is made out to “Danny Zuko,” she and Danny have always thought of the gift as being to them both. Sandy tells you that Danny hit her in 2017. Sandy was busy planning Betty’s eighteenth party and, well, “maybe” went a bit overboard. The American Express bill came, and Sandy had incurred $50,000 of expenses solely related to the party in the prior month. Sandy and Danny started to argue. Sandy had consumed a bottle of chardonnay and Danny had consumed about 4 glasses of bourbon. Danny punched Sandy in the face, leaving a blackeye. Ken heard the argument, saw his mother get hit, and called the police. Sandy refused to press charges and Danny was never charged criminally. Sandy tells you this because she wants to relocate with the children to Australia. She has family support there (as if the Zukos ever helped with the kids!) and wants to make sure she is as far away from Danny as possible when this is over. She states that she is fearful of him and is fearful that he will hurt her and/or the children, especially when he finds out that she is seeking a divorce. If he has parenting time at all, it should only be during school breaks and during the summer (like when she was young) so she can make sure the children are safe.
