Essаy 3 Jоhn, Pаul, Geоrge, аnd Ringо are musicians who have decided to start a rock band, the Blackbyrds.  They have some shows coming up but are hoping to do big concerts and make lots of money. John meets with Manager Mick and falsely tells him the Blackbyrds have played for five years throughout the world.  Mick agrees with John that he will be their manager and get paid 25% of all the band's income for two years.  John tells Paul, George, and Ringo about the deal but they become mad at John because they don't think they should have to pay 25% commission.  Manager Mick refuses to reduce his rate and says he will sue both the band and musicians individually if they try to back out of the agreement.  Ignoring Manager Mick, Paul gets the band a show at Wembley Stadium that will pay them $100,000.  They form an LLC and agree that each of them will own one-fourth of the business and each will be a member with equal votes in running the entity, as well as equal rights to share profits and duties to share debts.  Later, they do the big Wembley show and divide up the $100,000 equally among themselves.  They have a board meeting and decide to enter into a lease with a recording studio for $10,000 a month for one year.  Unfortunately, Covid-19 makes it hard to get any more shows, and after two months, the musicians decide to disband.
